Customer referral program terms & conditions

  1. ELIGIBILITY. Settle’s Customer Referral Program (the “Program”) is open only to legal residents of one (1) of the fifty (50) United States or the District of Columbia who are at least eighteen (18) years of age and have reached the age of majority in their state of residence at the time of participation, and United States entities located in one (1) of the fifty (50) United States or the District of Columbia at the time of participation, as applicable. Employees, officers and directors of Settle Inc. (“Sponsor”, “us” or “we”), its affiliates, subsidiaries, advertising and promotion agencies, distributors and other prize suppliers, and their respective immediate family members, are not eligible. All potential individual participants must be an eligible authorized representative (“Authorized Representative”) of an eligible of a legal entity (“Legal Entity”, the Authorized Representative and Legal Entity are collectively referenced herein as “you” and/or “participant”) that qualifies for and completes all steps for the Settle account creation (the “Account Setup”) and the other steps as explained more fully below. Legal Entities that do not qualify to complete the Account Setup, and the Authorized Representative of such Legal Entities, are ineligible for participation in the Promotion. A participant (an individual or entity) that voluntarily participates in the Program by referring eligible participants to sign up for Sponsor’s services is a “Referrer”. A participant (an entity) that does not already have an account with Sponsor, who is referred to Sponsor by Referrer, and voluntarily participates in the Program by signing up for Sponsor’s services, is a “Referee”.

  2. HOW TO PARTICIPATE.  

    2.1 Referrer. To participate in the Program and receive an Incentive (defined below), Referrer must have a Settle account or be an authorized user on a Settle account, and invite an eligible Referee to participate. In order to invite a Referee to participate, Referrer will need to send its unique invite link or code to the Referee via email or other option listed in the instructions on the referral page. Upon Referee's first completed bill payment transaction using Sponsor's Bill Pay or Working Capital services, Referrer will receive an Incentive subject to the terms herein.

    2.2 Referee. To participate in the Program and receive an Incentive, Referee must click on the personal and non-transferable link invitation or enter in the unique code (as applicable), complete the full onboarding flow on the Sponsor’s platform (https://www.app.settle.co), complete your Account Setup including connecting at least one bank account and completing all account verification requirements, and complete  at least one (1) bill payment transaction using Sponsor’s Bill Pay or Working Capital services. Upon Referee's first completed bill payment transaction using Sponsor's Bill Pay or Working Capital services, Referee will receive an Incentive subject to the terms herein.

By signing up for a Settle account, each participant unconditionally accepts and agrees to comply with and abide by these “Terms & Conditions” and the decisions of Sponsor, Sponsor’s Terms of Service, E-Sign Consent, Privacy Policy, and other Sponsor policies, which will be final and binding in all respects.

  1. PARTICIPANT FEEDBACK.  As part of the Program, participants may provide, or be requested to provide, certain comments, feedback, ideas, reports, suggestions, recommendations, questions, data or other information about Sponsor and/or its products, including without limitation, new features or functionality relating thereto (collectively, “Feedback”). Once you begin the steps described in section 2 above, all Feedback will become the sole and exclusive property of Sponsor.  Each participant acknowledges and agrees that Sponsor is free to use such Feedback irrespective of any other obligation or limitation between the parties governing such Feedback.  Feedback must reflect the participant’s own honest opinions and/or be based on personal experience.  Sponsor is not required to use any Feedback to develop and enhance Sponsor’s current or future products and services. Sponsor has the right to disclose, publicly  or to any of its partners, anonymized or aggregated information derived from Feedback. Participants shall have no right of compensation from, credit or attribution or approval over any use of the Feedback by Sponsor.

  2. INCENTIVE

    4.1 Referrer. Each eligible Referrer (i) that completes all steps outlined in these Terms & Conditions, and (ii) where the Referrer's Referee completes at least one (1) bill payment transaction using Sponsor's Bill Pay or Working Capital service, will be provided an “Incentive” as outlined in the list of incentive options provided to the Referrer by Sponsor on the referral page. The Incentive will be provided to the Referrer within 30 days after the date of completion of Referee’s first bill pay transaction. 

    4.2 Referee. Each eligible Referee that (i) completes all steps outlined in these Terms and Conditions, and (ii) completes at least one (1) bill payment transaction using Sponsor's Bill Pay or Working Capital service, will be provided an “Incentive” as described to the Referee on the Sponsor’s platform during the Account Setup process. The Incentive will be provided to the Referee within 30 days after the date of completion of Referee’s first bill pay transaction. 

Each Incentive is non-transferable. In the event any non-cash/cash equivalent Incentive is available to the participant, the participant may not claim a cash alternative for such non-cash/cash equivalent Incentive. In the event a cash or cash equivalent Incentive is offered, such Incentive may be subject to tax reporting requirements and is the responsibility of the participant. In the event an Incentive involves waived subscription fees for a period of time (the “Promotional Period”), any applicable bill pay transaction fees will still apply during such Promotional Period, and you will be responsible for paying such transaction fees when they become due (these fees will not be refunded or reimbursed). After the Promotional Period has ended, if you have not canceled your account or chosen a different Settle subscription plan, you will be charged the applicable monthly subscription fee as outlined on Sponsor’s website (https://www.settle.com) to continue using the services available for such plan. In the event an Incentive involves an account credit to be used for bill pay transaction fees, participants may not claim a cash alternative for such Incentive.   Each Incentive is provided “AS IS” and without warranty of any kind, express or implied (including, without limitation, any implied warranty of merchantability or fitness for a particular purpose). Sponsor is not responsible for and will not replace any lost, mutilated, or stolen cash and/or cash equivalent Incentive. Any gift card Incentive (whether an electronic or physical card, and if applicable) is awarded subject to the terms of the issuer and any terms and conditions set forth on the gift card itself.

  1. TERMINATION. Sponsor may change the Incentives offered and/or end the Program at any time in its sole discretion and without prior notice. Any Account Setup that has been completed prior to a change in Incentives and/or termination of the Program will still be eligible for an Incentive so long as all other requirements have been met, provided however, the applicable Incentive will be determined by what Incentive(s) are available at the time the participant completes all required steps.

  2. RELEASE/DISPUTES/GOVERNING LAW. Each entrant and participant agrees to release and hold harmless Sponsor and its partners and affiliates from any injury, loss or damage due to participation in the Program or the acceptance or use/misuse of an Incentive, including but not limited to any potential violation of any agreement (including but not limited to an employment agreement or policy) between the Authorized Representative and Legal Entity. New York law applies to any and all disputes and claims relating to the Program. The invalidity or unenforceability of any provision of these Terms & Conditions will not affect the validity or enforceability of any other provision.
